1. Parties and acceptance
“Company,” “we,” “us” and “our” mean Solo Concepts LLC. “Client” and “you” mean the person or organization requesting or purchasing services. Website use is subject to these Terms. A service engagement begins only when the parties accept a written quote, statement of work or other agreement.
2. Services and project documents
We provide custom video editing and related creative services. Each accepted quote identifies the deliverables, client inputs, price, payment schedule, milestones, revisions and estimated timeline. If a project document conflicts with these website Terms, the project document controls for that engagement.
3. Quotes, prices and payment
Unless stated otherwise, quotes are in US dollars and valid for the period shown. Payment timing and method are specified in the accepted quote. This website does not currently collect payments. You are responsible for applicable taxes, bank charges or agreed third-party costs not expressly included in the quote. No recurring subscription is created unless a signed project document clearly states the amount, frequency, renewal and cancellation terms.
4. Client responsibilities
You must provide accurate instructions, timely feedback and the materials and access needed for the work. You represent that you have all necessary rights, permissions and licenses for materials you provide and for the requested use. Delays in inputs or approvals may extend the schedule.
5. Revisions and changes
Included revision rounds are stated in the quote. A revision adjusts work within the approved brief; a new concept, new footage, changed direction or additional deliverable may be treated as a scope change. We will disclose any additional fee or schedule change for approval before performing out-of-scope work.
6. Delivery and acceptance
Draft and final files are delivered electronically as described in the Fulfillment Policy and accepted quote. Please report a material failure to match the approved scope within seven calendar days after delivery, with specific details. This does not limit rights that cannot legally be waived.
7. Intellectual property
Each party retains its pre-existing materials, methods, trademarks and intellectual property. Unless the accepted quote says otherwise, rights in approved final deliverables transfer to the Client after full payment. Drafts, unused concepts and working files remain ours. Third-party materials remain subject to their respective licenses. We will not publicly display client work unless authorized.
8. Confidentiality
Each party will use reasonable care with non-public business information received for the project and use it only for the engagement, except where disclosure is authorized or legally required.
9. No performance guarantee
We do not guarantee sales, conversion rate, advertising approval, return on ad spend, platform distribution or other commercial results. Creative performance depends on many factors outside our control.
10. Cancellation and refunds
Cancellations and refund eligibility are governed by the accepted quote and our Cancellation & Refund Policy.
11. Disclaimer and limitation of liability
Services are provided with reasonable professional care and according to the accepted scope. To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special or consequential damages. Our total liability arising from a project will not exceed the fees actually paid for the affected project, except where such limitation is prohibited by law or for liability that cannot legally be limited.
12. Governing law and disputes
These Terms are governed by Wyoming law, without regard to conflict-of-law rules. Before filing a claim, the parties will attempt in good faith to resolve the issue through written notice and direct discussion. Any legal proceeding will be brought in a court with proper jurisdiction, subject to mandatory consumer or other laws that apply.
13. Website use
You may not misuse the website, attempt unauthorized access, submit unlawful material or interfere with its operation. Website content may be updated, but accepted project terms will not be changed retroactively without agreement.
